Hyperliquid Strategies expands its equity facility from $1 billion to $2.5 billion.

Hyperliquid Strategies has increased its committed equity facility with Chardan Capital Markets to $2.5 billion from $1 billion. The expansion gives the HYPE-focused treasury company additional capacity to raise capital through newly issued shares. PURR closed at $11.36 on September 1, down 7.31% during regular trading.

The amendment adds $1.5 billion to the facility originally signed in October 2025. The full commitment does not represent cash already received or guarantee that all shares will be sold.
Hyperliquid Strategies can sell newly issued common stock to Chardan under the amended agreement. Proceeds may support general corporate purposes, including potential HYPE purchases, but the filing does not set a required allocation.
In its 8-K statement, the company held about 29.4 million HYPE as of August 23. Earlier filings showed roughly $773.4 million spent acquiring 16.5 million tokens at an average price of $46.77.
The expanded facility therefore provides another potential source of funding for the company’s digital asset treasury strategy. However, actual proceeds will depend on future share sales and prevailing market prices.
The previous amended facility includes a Nasdaq-related restriction after the first $1 billion in stock sales. Below $12.02 per share, sales cannot exceed 42,641,847 shares without shareholder approval or an applicable exception.
At $12.02, that share limit equals roughly $512.5 million in gross proceeds. PURR’s $11.36 closing price places the stock below that reference level.
For Hyperliquid Strategies, raising capital through additional shares can increase its HYPE holdings. It can also dilute existing shareholders, particularly when the stock trades at lower prices.
