The valuation of Evernorth’s XRPN stock has come under scrutiny as new analysis suggests each share provides exposure to a significantly smaller amount of XRP than some investors previously believed, while trading at nearly double the value of its underlying holdings.

XRPN’s Structure: Less XRP Per Share Than Expected

Evernorth, a financial company focused on digital asset treasuries, holds around 473 million XRP in its corporate reserves. XRPN, the company’s security listed on Nasdaq, enables investors to gain exposure to these holdings through publicly traded shares.

A review by BullRunners, a prominent digital asset commentator, highlighted that while dividing the XRP treasury by the 26,094,680 publicly traded XRPN shares gives a figure of 18 XRP per share, this calculation omits key details about Evernorth’s capital structure.

The analysis points out that the company has additional shares and units that are convertible into common stock. Ripple, which contributed to Evernorth’s treasury, holds units convertible into about 23 million shares, and Arrington Capital’s funds are tied to another 31 million shares. Including these convertible units brings the total potential share count to approximately 80 million.

Using this expanded share count, each XRPN share corresponds to roughly 5.9 XRP. With XRP priced at $1.29, the underlying exposure is about $7.59 per share, even though XRPN closed at $15.06 on October 23.

This structure means investors are effectively paying nearly twice the value of the XRP backing each share.

Dividing Evernorth’s XRP holdings by all convertible and outstanding shares reduces exposure to just 5.9 XRP per XRPN share, rather than the frequently cited 18 XRP per share, highlighting a significant premium in the current stock price.

Mini dictionary: Evernorth is a digital asset holding company that enables public market investors to gain exposure to large treasuries of cryptocurrencies, such as XRP, via traditional equity shares listed on the Nasdaq exchange.

XRP Treasury: Sources and Shareholder Snapshot

Evernorth’s XRP reserves have multiple sources. Ripple, a leading developer of global payment solutions, allocated 127 million XRP to the company. Investment firm Arrington Capital supplied 211 million XRP through a managed fund. Evernorth also used $214 million raised from investors to purchase 84 million XRP at an average acquisition cost of $2.54 per token.

At a current price of $1.29, Evernorth’s purchased XRP holdings are trading roughly 49% below their acquisition value.

Before its rebranding, Evernorth operated as Armada, which saw its share price reach $53 on October 2. A large proportion of original Armada shareholders—about 80.3%—opted to redeem their holdings at $10.58 per share ahead of the merger completed on October 9. XRPN then fell to $15.06 by October 23, a decline of 72% from the earlier peak.

Potential Dilution, Lending Plans, and Upcoming Lockups

BullRunners also addressed future dilution risks. The commentator identified another 29 million shares that could be created from warrants, employee compensation plans, and a share issuance agreement with Cantor Fitzgerald, a global financial services firm.

The issuance of new shares is likely when XRPN trades above its underlying asset value, potentially benefiting the treasury but reducing each shareholder’s proportional exposure. Dilution below asset value, however, may further disadvantage existing investors.

Evernorth intends to boost returns by lending a portion of its XRP holdings to institutional borrowers and decentralized finance (DeFi) lending protocols. This strategy aims to generate income from interest, although it introduces new risks tied to borrower creditworthiness and DeFi protocol reliability.

Mini dictionary: Cantor Fitzgerald is a global financial services firm specializing in investment banking, prime brokerage, and asset management, often involved in complex capital markets transactions.

On April 9, 2027, lockup agreements affecting around 55 million XRPN shares and units are scheduled to expire, which could potentially expand the float and impact market pricing for the stock.
