Stockholders of Nasdaq-listed Super League Enterprise ($SLE) have approved the proposals tied to Metaplanet's planned investment, a step toward launching the "Superplanet" U.S. Bitcoin treasury platform. The approvals came at the company's 2026 annual meeting on October 16, 2026. The move was backed by Metaplanet CEO @gerovich.
What the deal involves
Under the agreement announced on August 18, 2026, Metaplanet will contribute 2,100 Bitcoin ($BTC) and $2.5 million in cash to Super League at closing, through its wholly owned U.S. subsidiary, Metaplanet Holdings, Inc.Subject to customary closing conditions, Super League will be renamed "Superplanet, Inc." and become Metaplanet's U.S. Bitcoin treasury platform, spanning Nasdaq and the Tokyo Stock Exchange.
When the deal was announced, CoinDesk reported that Metaplanet would receive 44.9 million common shares priced at $3 each, plus preferred stock and warrants, with the 2,100 bitcoin valued at $132.1 million at the time.Super League's market value was roughly $5 million before the announcement, and the company would trade under the ticker SUPA.
Metaplanet is expected to own about 95.7% of the common stock, making Superplanet a consolidated subsidiary.Metaplanet held 43,000 BTC as of August 18, so the contribution equals roughly 4.9% of its holdings.Super League will keep its existing gaming-media and advertising business.
Access to U.S. capital markets
The structure gives Metaplanet a second listed vehicle for its Bitcoin strategy. That sits alongside its Tokyo Stock Exchange listing.Metaplanet would have the right to invest a further $210 million in non-convertible preferred stock over 24 months, and Superplanet plans to use its bitcoin as collateral for future preferred stock offerings.
Super League said the Bitcoin will arrive in kind at closing. That establishes the treasury without the need to source, time and execute open-market purchases.Metaplanet has also agreed to a five-year lock-up on all Superplanet equity it receives.
The deal carries trade-offs for existing holders. Current Super League shareholders would own about 4.3% of the company after closing. The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions, including required filings with Nasdaq. The company also cautions that Bitcoin's price is volatile and will continue to fluctuate.
