OpenWorld, Inc. announced in an 8-K filed with the SEC on October 7, 2026 that it has signed a non-binding term sheet with Beyond Limits, Inc., known as BeyondAI, for an intellectual-property-backed financing transaction that could total up to $130 million.

Under the proposed structure, eligible patents and software rights held by BeyondAI would be tokenized onchain, with each digital token representing an investor’s right to payments backed by that intellectual property. OpenWorld, which specializes in real-world asset tokenization, described the arrangement as converting BeyondAI’s IP into “financeable, well-governed collateral,” built around what the companies called a transparent, on-chain structure with clear governance over how proceeds flow to token holders.

“Intellectual property is one of the largest and least financed asset classes held by technology companies,” OpenWorld CEO Matthew Shaw said in the announcement, framing the deal as a template for unlocking capital tied up in patent portfolios that traditional lenders often struggle to value or collateralize. BeyondAI’s roots trace back to NASA’s Jet Propulsion Laboratory, and the company counts Aramco Ventures, ILA and BP Ventures among its investors.

OpenWorld, founded in 2023, said it has advised on blockchain projects representing more than $66 billion in aggregate network value since its founding, positioning the BeyondAI term sheet as its latest effort to bring traditional corporate assets onto tokenized rails. The deal remains non-binding at this stage, with definitive terms and the tokenization structure itself still to be finalized before any financing closes, and both companies cautioned that there is no guarantee the term sheet will convert into a completed transaction.

The transaction reflects a broader push among tokenization specialists to move beyond real estate and fixed-income products into more unconventional collateral types such as patents and software, betting that artificial intelligence companies sitting on valuable but illiquid IP portfolios represent an underserved market for blockchain-based financing. If completed, the deal would give BeyondAI a new funding channel without requiring a traditional equity raise or conventional IP-backed loan from a bank, while giving OpenWorld a high-profile showcase for its broader tokenization advisory business.
