Why mNAV Matters for Crypto Treasury Stocks
What is mNAV crypto? It is a ratio that compares what the market pays for a company with the value of the crypto it holds. At 1.0x, the two match. The exact answer depends on the formula used.
The question matters again. A DWF Ventures comparison using data from September 21, 2026, found that only four of the 20 largest digital asset treasury companies by assets under management traded above 1.0x mNAV. The other 16 were below that threshold in the study's comparison. Strategy's own dashboard uses a different method. It showed 1.11x mNAV on November 6, 2026.
This guide covers the mNAV meaning, the main formulas and one worked example. It also explains why the bitcoin treasury company premium fades, and what Strategy's $1.25 billion BTC sale authorization covers. We stay neutral on every company named.
mNAV stands for multiple to net asset value. These companies are commonly called digital asset treasury companies, or DATs. They are listed businesses that hold crypto as a main asset.
Traditional net asset value means assets minus liabilities. In crypto treasury analysis, however, the term Bitcoin NAV is often used as shorthand for the market value of a company's Bitcoin holdings. Some mNAV methods adjust for debt, preferred stock and cash. Others do not. That is why two providers can report different multiples for the same company.
In DAT analysis, mNAV generally compares a company's market or enterprise valuation with the value of the crypto it holds. The exact formula depends on the provider.
One commonly used enterprise-value method is:
mNAV = Enterprise value ÷ Bitcoin NAV
- Enterprise value = market capitalisation + debt + preferred stock − cash
- BTC NAV = Bitcoin held × current BTC price
Some trackers use market capitalisation divided by BTC holdings instead. That version excludes debt and preferred stock, so it can produce a very different result.
The Strategy mNAV calculation is published by the company itself. Its current method divides MSTR's share price by Net BTC Per Share in USD. That denominator accounts for certain senior claims, including debt-like instruments and preferred stock, after deducting USD assets. Strategy changed this definition on July 23, 2026, so its earlier and later readings should not be compared as one continuous series.
The mNAV meaning depends on the formula behind it. So what is mNAV crypto at its core? A price tag on a company's coins, and the tag changes with the math used. Always identify the provider's formula before interpreting a premium or discount.
mNAV Example: How a Treasury Premium Changes the Math
The following is an illustrative enterprise-value calculation for a made-up company. It is not Strategy's published mNAV. All inputs share one measurement date, which keeps the ratio reproducible.

Real data shows the same gap. On November 6, 2026, Strategy's dashboard listed a market capitalisation of about $54.8 billion and an enterprise value of about $69.7 billion. It reported 849,327 BTC, worth about $64.2 billion. Net of senior claims and USD assets, its dashboard showed a net reserve of about $49.3 billion.

So, is Strategy trading below NAV? It depends on the measure. DWF's market-value count, which excludes debt and preferred stock, put Strategy at about 0.97x on September 21. On November 6, the market-cap version was about 0.85x, while Strategy's own measure showed 1.11x. None of these is wrong. Strategy mNAV and DWF's count answer different questions.
Why the premium matters: a simple dilution test
This is a simplified illustration using market value relative to gross BTC holdings. It assumes the company issues new shares and uses all proceeds to buy Bitcoin, with no change in the Bitcoin price, no transaction costs and no additional debt or preferred claims. It is not a full enterprise-value or Strategy mNAV calculation.
Take a made-up company with 1,000 BTC and 1,000,000 shares. Each share backs 0.001 BTC. It sells 100,000 new shares, worth 100 BTC at NAV.

Under these assumptions, issuing shares above 1.0x increases BTC per share, while issuing below 1.0x reduces it. That reduction is dilution, and it is the practical mNAV meaning for shareholders. This measures Bitcoin-per-share accretion or dilution, not the full effect on earnings, book value or stock price. Strategy itself cautions that mNAV alone does not show whether a transaction is accretive to those measures.
Why 16 of the Top 20 Crypto Treasury Firms Traded Below NAV
DWF Ventures published its comparison on September 24, 2026, using data as of September 21. That is a snapshot, not a live reading. It found four of the 20 largest DATs above 1.0x, so the BTC treasury company premium survived in only a few cases. The other 16 were below it.
One qualification matters. DWF's comparison used market value relative to crypto holdings and excluded debt and preferred stock. Its figures should not be treated as directly comparable with enterprise-value-based or issuer-specific mNAV calculations.
Why do treasury companies trade below NAV? These are possible valuation factors, not proven causes for every company.
- The growth story faded. Investors may be less willing to pay a premium for a company whose main treasury strategy depends on raising capital to buy more crypto. Strategy reported an average BTC purchase price of $75,651 as of June 28, 2026, while Bitcoin traded near $60,000 around that snapshot. That gap shows how sensitive its holdings are to market prices. It does not, by itself, explain the stock's mNAV.
- Running costs are real. Strategy's August 23, 2026 investor briefing, filed with the SEC, cited about $1.703 billion in annual preferred dividends and debt interest at its current run rate. Its dashboard showed about $1.484 billion on November 6, 2026. The figure changes as securities and dividend rates change.
- Other routes exist. Spot Bitcoin ETFs let investors hold the coin directly. A stock may need another reason to cost more than the coins.
- Dilution may be priced in. Investors know shares issued below NAV can cut Bitcoin per share. They may pay less up front.
Our read: these factors can feed each other. A shrinking premium blocks share sales, which slows buying and weakens the story.
What Happens When a Crypto Treasury Company Trades Below 1x?
When the bitcoin treasury company premium turns into a discount, the old playbook stops working. Selling shares to buy coins can dilute owners. Management may consider several responses, depending on cash, financing access, debt and the company's wider business.
- Pause purchases. Some companies simply stop adding coins.
- Run buybacks. If a company's shares trade at 0.8 times the value of its gross Bitcoin holdings per share, it could theoretically spend cash equal to 80 BTC to repurchase shares representing 100 BTC of gross holdings. That would increase Bitcoin per remaining share, assuming no other changes. The company still needs available cash and must consider its debt, preferred claims and other obligations.
- Sell some crypto. Coin sales can fund buybacks, debt or dividends. That avoids issuing cheap shares. It also breaks any "never sell" message.
- Merge or get acquired. A firm below NAV can become a takeover target.
- Add an operating business. Revenue may give investors another reason to hold the stock.
Each route has trade-offs. None guarantees the discount closes.
Strategy's $1.25B Bitcoin Sale Authorization Explained
On June 29, 2026, Strategy announced a board-authorized BTC Monetization Program. It allows the company to sell Bitcoin for specified purposes, including generating up to $1.25 billion in additional proceeds for its USD Reserve. The authorization also covers certain dividend, interest and security-repurchase funding needs. It does not require the company to sell Bitcoin.
Item
Authorization or reported figure
Additional proceeds for USD Reserve
Up to $1.25 billion
Digital Credit Securities repurchases
Up to $1 billion
Class A common-stock repurchases
Up to $1 billion
USD Reserve balance
$2.55 billion as of June 28, 2026
Bitcoin holdings
847,363 BTC as of June 28, 2026
The two $1 billion repurchase programs are separate from the Bitcoin-sale proceeds limit. At a hypothetical Bitcoin price of $60,000, $1.25 billion would equal approximately 20,833 BTC. The actual number of coins required would depend on the sale price.
Strategy said its $2.55 billion USD Reserve was intended to support preferred-stock dividends and interest on outstanding debt. Its board-approved policy requires a minimum reserve equal to at least 12 months of expected annual payments and interest obligations.
Where the 1.22x threshold fits
On its Q1 2026 earnings call, Strategy management said its estimated breakeven for issuing MSTR shares to buy Bitcoin had risen to about 1.22x mNAV as debt and preferred securities increased. Management said equity issuance above that level could increase Bitcoin per share. Below it, selling Bitcoin to meet dividend obligations could be more accretive under its stated assumptions. This is a company-specific threshold, not a universal rule for digital asset treasury firms.
Strategy changed its published mNAV definition on July 23, 2026. Do not compare the Q1 call's 1.22x reference with later dashboard readings without checking the methodology.
What the filings show
Strategy reported 840,447 BTC as of August 16, 2026. Its dashboard showed 849,327 BTC as of November 2, so later purchases outweighed those sales. Its filings also disclosed Bitcoin sales in late June and early July, including 1,363 BTC and 2,225 BTC, respectively. Those sales were disclosed as part of its broader capital and reserve management. The $1.25 billion authorization is a proceeds limit for specified purposes, not a requirement to sell a fixed number of coins.
Our read: the move formalizes flexibility. Supporters call it sensible liquidity planning. Critics say it ends years of "never sell" messaging. Both views have a case. How much of the authorization will be used remains unconfirmed. The company's 8-K filings are the place to check.
How to Evaluate mNAV Before Researching a DAT Stock
Still wondering what is mNAV crypto in practice? Use this checklist before trusting any number.
- Check the definition. The Strategy mNAV method deducts senior claims per share. Trackers may use enterprise value or market cap. Did the provider change its method? Before and after figures may not compare.
- Verify holdings. Company dashboards are self-published. Cross-check them in SEC EDGAR filings and public trackers such as this live mNAV terminal and this treasury holdings database.
- Look at the debt. Heavy debt and preferred stock can flatter one version and punish another.
- Watch the trend. One day's reading says little. A slow slide says more.
- Read management's plan. Does the firm buy back shares, sell coins or issue stock at each level?
- Know the blind spots. mNAV ignores operating businesses, fees and tax. It also does not predict the share price.
What Premium, Par and Discount Mean for mNAV
Reading
What it means
What it has meant historically
Premium (above 1x)
Investors pay more than the coins are worth under that method
Firms could sell shares and buy more crypto without cutting Bitcoin per share, under simple gross-holdings math
Par (near 1x)
Investors pay about the coins' value
Share sales add little. Buybacks add little. The model has little room for error
Discount (below 1x)
Investors pay less than the coins are worth
Share sales can dilute. Buybacks can add Bitcoin per share. Coin sales, mergers and strategy changes may follow
What is mNAV crypto telling us today? The DWF comparison found that most of the largest treasury companies traded below the value of their crypto holdings in its September 21 snapshot. Strategy is a separate case: its dashboard showed 1.11x mNAV on November 6, using its current methodology. That is an 11% premium to its net Bitcoin value per share, not a universal reading for the wider treasury sector.
So, what is mNAV crypto means in crypto world? The mNAV meaning in one line: it shows how much the market will pay above, at or below the value of a company's coins, under a specific formula. What remains uncertain is whether discounts close, and which definition investors will trust. Next, check the definition, the filings and the debt.
