  • Next Technology’s board authorized the sale or pledging of its entire Bitcoin treasury after reviewing security risks.
  • The company’s reported cryptocurrency holdings are worth more than 50 times its equity market capitalization.
  • SEC filings reveal substantial cash reserves and a share-financed Bitcoin acquisition, complicating the valuation picture.

Nasdaq-listed Next Technology Holding (NXTT) has authorized the potential sale or pledging of its 5,833 Bitcoin, worth approximately $450 million, after reviewing cryptocurrency custody risks following the recent Binance security breach.

The unanimous board decision, effective October 30, allows management to sell the holdings through exchanges or private transactions, or pledge them to secure financing. The authorization does not represent a completed sale.

The announcement raises a larger financial question: why does a company reporting hundreds of millions of dollars in digital assets trade at a fraction of their stated value?

NXTT’s Bitcoin Holdings Dwarf Its Market Capitalization

Next Technology closed Friday at $5.30 per share, giving it an estimated market capitalization of $7.8 million based on approximately 1.47 million outstanding shares.

At a Bitcoin price near $77,000, the company’s reported treasury would be worth approximately $449 million, nearly 58 times its equity valuation.

Such a discrepancy cannot be explained simply by subtracting conventional debt from cryptocurrency holdings.

The company’s June 30 quarterly filing with the SECreported $27 million in total liabilities, alongside substantial cash reserves and digital assets. Its stated book equity was far above its current market capitalization.

That does not establish that NXTT shares are undervalued. The figures come from different dates, and investors must consider changes in outstanding shares, dilution, custody arrangements, financial reporting and the extent to which reported assets are economically available to common shareholders.

However, the size of the discrepancy warrants closer examination than a straightforward comparison of Bitcoin holdings and share price.

How Next Technology Built Its Bitcoin Treasury

The company’s largest cryptocurrency acquisition occurred in March 2025, when it completed a previously negotiated purchase of 5,000 BTC.

According to its SEC filing, the transaction originated from a contract that allowed Bitcoin purchases at a negotiated base price of $30,000 per coin, with additional consideration involving equity warrants.

Rather than funding the acquisition entirely with cash, Next Technology applied an earlier prepayment and issued shares and warrants that were subsequently exercised.

The company recorded total consideration of approximately $158.1 million, equivalent to about $31,617 per Bitcoin.

This financing structure matters because the cryptocurrency acquisition significantly expanded the company’s asset base while also changing its ownership structure.

The June filing shows that the transaction was part of a broader strategy involving equity issuance and cryptocurrency accumulation. Investors assessing the company’s valuation must therefore consider both the assets acquired and the securities issued to obtain them.

What the SEC Filings Reveal

The following figures provide a balance-sheet reference point for evaluating the company’s latest treasury decision.

NEXT TECHNOLOGY HOLDING Balance Sheet Snapshot June 30, 2026 | Unaudited SEC Form 10-Q Balance sheet item Reported amount Cash and cash equivalents $159.0M Digital assets $351.5M Total assets $512.4M Total liabilities $27.0M Stockholders’ equity $485.4M Source: Next Technology Holding, SEC Form 10-Q for the quarter ended June 30, 2026. The filing also states that substantially all the company’s Bitcoin is held with institutional custodians based in Japan.

However, it does not identify those custodians or provide public wallet addresses that would allow investors to independently reconcile the reported balance with blockchain records.

This is a verification limitation, not evidence that the assets are missing.

Binance Security Incident Influences the Board’s Decision

In its October 30 announcement, Next Technology said directors reviewed the recent Binance security incident alongside broader hacking and exchange-custody vulnerabilities.

The company explicitly stated that none of its Bitcoin was held on or through Binance.

Directors also cited the potential future impact of quantum computing on Bitcoin’s cryptography. Although sufficiently advanced quantum computers could theoretically threaten existing digital-signature systems, there is no demonstrated practical capability to compromise Bitcoin at scale.

The company’s immediate decision is consequently more relevant to custody, liquidity and capital allocation than to an established quantum threat.

Selling Bitcoin and Borrowing Against It Carry Different Costs

Management now has several ways to act on the authorization, each with different consequences.

EXECUTION ANALYSIS Three Routes for the Bitcoin Treasury Structure Liquidity outcome Financial exposure Exchange sale Immediate cash proceeds Execution slippage and reduced BTC participation Private block trade Negotiated cash settlement Pricing discount and counterparty settlement risk BTC-backed financing Borrowed liquidity Interest expense, collateral calls and liquidation risk Based on the authorized transaction methods. Financial exposures are analytical assessments, not announced deal terms.

Chief Executive Weihong Liu has authority to determine transaction timing, quantities and pricing.

A collateralized loan would preserve the company’s Bitcoin exposure while introducing leverage and possible margin requirements. An outright disposal would remove that financing risk but reduce participation in future cryptocurrency price movements.

The company’s decision therefore raises two separate questions: whether its reported assets can be monetized on favorable terms, and how any proceeds would ultimately benefit shareholders.

Neither has been resolved by the board authorization.
