Most of the tokenization boom in 2026 has meant wrapping existing assets in a token. Treasuries, equities, stablecoins all represent a real world asset (RWA) digitized and put on a blockchain. T7X thinks that doesn’t go far enough, and is working on something different.

In an interview with TheStreet Roundtable, Pablo Penaloza, chairman and CEO of T7X, said healthcare lender Tranquil Healthcare Fund I has become a first for the SEC, and a model for tokenized RWA’s going forward.

“As far as we know, this is the first time that the SEC qualified this entire process as an on-chain, natively issued, SEC-qualified offering to the general public,” Peñaloza said.

What the SEC actually signed off on

The SEC qualified Tranquil’s Regulation A offering on June 29, 2026. The offering covers up to 5 million Class A Preferred Shares at $10 each. T7X’s subsidiary T7X Equities serves as transfer agent.

Tokens under Reg A are not totally new. The SEC cleared Blockstack’s token offering in 2019. T7X is making a more narrow claim: the security itself is issued and administered on-chain from day one.

Penaloza said the SEC “spent many months” with the company’s lawyers and the issuer to make sure existing investor protections carried over.

He also said T7X reused that structure for a second offering that was qualified on October 16, 2026. That offering is DeedFlow, which names T7X Equity as administrator and transfer agent and is offering up to $25 million in bond tokens.

He said three more offerings are already filed and about 50 issuers are in the pipeline.

“The interest is, at this point, more than we can handle,” he said.

Demand is a separate question. Tranquil had raised $192,500 through September 30.

Not waiting on Congress

Meanwhile, the SEC has proposed rules that would let blockchain records serve as official ownership records.

Penaloza says T7X is not waiting for the CLARITY Act. The rules for issuing, administering and transferring securities already exist, he said, and the only new thing is running them on a blockchain instead.

“If it does pass, it could change how we do certain things,” he said. “But if it doesn’t pass, we feel like we’re still on track to achieving all of our goals.”

Penaloza believes that compliant, on-chain capital formation does not need new legislation. And they want to prove it one Reg A deal at a time.

The ownership records tell a more specific story

Tranquil's June 25 offering circular says its preferred shares are intended to be issued as tokens on a public blockchain, maintained on a gated platform controlled by the transfer agent. But the transfer agent's off-chain master securityholder file is the sole official ownership record.

Ownership information is then indexed onto the blockchain. The documents reviewed do not establish that the blockchain itself is the authoritative legal ownership record.

DeedFlow's September 22 amended circular draws the same boundary. Its bonds are issued in uncertificated, book-entry form, with the off-chain master file serving as the sole official ownership record.

Any corresponding Bond Token is a non-negotiable administrative index entry, not a security or evidence of bond ownership. Moving that entry alone does not transfer the bond, the filing says.

Investors do not hold the private keys or wallet access needed to initiate an on-chain transaction. The transfer agent records a legal transfer first and updates the blockchain index afterward.

SEC qualification is not an endorsement of the investment or an independent finding that an offering is the first of its kind. The agency's investor bulletin says qualification does not mean it has approved the merits of the securities or the accuracy of the offering statement.

Tranquil's October 9 report disclosed $192,500 raised through Sept. 30, or 0.385% of the $50 million maximum offering. This is a historical fundraising figure, not the company's valuation or a current total.

The same report disclosed substantial doubt about Tranquil's ability to continue as a going concern. Two matured notes payable to T7X Assets, with combined principal of $100,000, remained unpaid. The holder had not given the required written default notice, so no contractual Event of Default had occurred, the filing said.
